WINNER SELECTION; NOTIFICATION; ODDS OF WINNING: THIS CONTEST IS A SKILL-BASED COMPETITION. WINNERS ARE SELECTED BASED ON THEIR SURVEY RESPONSES AS EVALUATED AGAINST PRE-ESTABLISHED, OBJECTIVE JUDGING CRITERIA. THIS IS NOT A SWEEPSTAKES, RANDOM DRAWING, LOTTERY, OR GAME OF CHANCE. THE OUTCOME OF THIS CONTEST DEPENDS PRIMARILY ON THE SKILL, PILATES KNOWLEDGE AND ABILITY OF THE PARTICIPANTS, NOT ON CHANCE. NO ELEMENT OF THIS CONTEST INVOLVES A RANDOM DRAWING OR ANY OTHER METHOD OF SELECTION BASED ON CHANCE.
Following the end of the Contest Period, Sponsor will select winners from all eligible Surveys based on the following criteria (“Judging Criteria”):
Relevance and depth of the respondent’s perspective based on their responses about their Pilates and Pilates Anytime experience (40%);
Contribution to a range of member experiences across the selected interview group, including membership tenure, frequency of Pilates Anytime use, Pilates experience, and ways of practicing Pilates (40%); and
Completeness of the Survey (20%).
In the unlikely event of a tie, the potential winner will be determined by a panel of qualified judges (the “Judges”) based on highest score in the following category: Completeness of the Survey. Odds of winning a prize depend on number and quality of eligible entries received.
The potential winner will be notified via email, at the email address provided in the Survey at Sponsor’s sole and absolute discretion. If Sponsor attempts to contact the potential winner and cannot engage in a conversation with the potential winner within five (5) business days from the first notification attempt, then such person may be disqualified and an alternate winner may be selected, if time permits. If Sponsor attempts to contact the potential winner via email, then the potential winner must respond to such email, and provide all requested information, within the time specified in the email, or such person may be disqualified and an alternate potential winner may be selected. All notification requirements, as well as other requirements within these Official Rules, will be enforced.
THE WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. AN ENTRANT IS NOT A PRIZE WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE AND NO FURTHER ACTION IS NEEDED.
To the fullest extent permitted by applicable law, Sponsor may require each potential winner to sign and return, within 48 hours of being notified, an Affidavit of Eligibility and Liability/Publicity Release and tax forms in order to claim his/her prize (except where prohibited). If (i) the attempted notification is returned as undeliverable without a forwarding address; (ii) any required documents are not returned within 48 hours, such as the Affidavit of Eligibility and Liability/Publicity Release and/or tax forms; or (iii) if potential winner is otherwise unable to accept the prize as stated, the prize will be forfeited and an alternate winner will be awarded to the next highest scoring participant, subject to Sponsor’s verification. Alternate winners will continue to be contacted until the prize is awarded.
Sponsor does not assume any responsibility for entries that are lost, misdirected, that end up in a spam folder, or that were misspelled or incorrect in the entry. Without limiting the above, forfeiture of a prize, in whole or in part, may result from any of the following at Sponsor’s discretion: (1) failure of a potential winner to execute and return any required documents (and a completed IRS Form W-9 if required by Internal Revenue Service regulations for residents of the United States), by the deadline specified in the notification; (2) the return of any notification or prize as undeliverable; and (3) any other non-compliance with these Official Rules. Sponsor is not responsible for the failure for any reason whatsoever of a potential winner to receive any notification from Sponsor, or for the failure of Sponsor to receive any response or required documents from the potential winner.
By entering the Contest, entrants agree to the use by Sponsor and its designees of their name (first and last name), email address, photograph, and likeness for advertising, promotional and other marketing purposes, in perpetuity, in any and all forms of media (including the Internet) without additional compensation, except where prohibited by law. DISPUTES:
Binding Arbitration. Each entrant agrees that any dispute, controversy or claim related to these Official Rules (a “Claim”), to the extent unable to be resolved through mutual negotiations, may, upon the election of either the entrant or Sponsor, with the exception of those Claims expressly excluded in paragraph 8.e., be finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. The arbitration will be conducted under the rules of JAMS that are in effect at the time the arbitration is initiated (the “JAMS Rules”) and under the terms set forth in these Official Rules. In the event of a conflict between the terms set forth in these Official Rules and the JAMS Rules, the terms set forth in these Official Rules will control and prevail. Except as otherwise set forth in paragraph 8.e., an entrant may seek out any remedies available to him or her under federal, state or local laws in an arbitration action. As part of the arbitration, an entrant and Sponsor will have the opportunity for discovery of non-privileged information that is relevant to the Claim. The arbitrator will provide a written statement of the arbitrator’s decision regarding the Claim, the award given and the arbitrator’s findings and conclusions on which the arbitrator’s decision is based. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. The determination of whether a Claim is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Except as otherwise provided in these Official Rules, (i) an entrant and Sponsor may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator; and (ii) the arbitrator’s decision is final, binding on all parties and enforceable in any court that has jurisdiction.
BY AGREEING TO THIS ARBITRATION PROVISION, EACH ENTRANT UNDERSTANDS THAT HE OR SHE IS WAIVING THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
Arbitration Fees. If an entrant initiates arbitration for a Claim, he or she will only need to pay an arbitration initiation fee of $250 and Sponsor will pay all other costs charged by JAMS for initiating the arbitration. If Sponsor is initiating arbitration for a Claim, Sponsor will pay all costs charged by JAMS for the arbitration. All other fees and costs of the arbitration will be charged pursuant to the JAMS Rules. No entrant will be required to pay Sponsor’s attorneys’ fees or other costs if he or she does not prevail in the arbitration. No entrant will seek attorneys’ fees in the event they are deemed the prevailing party.
Location. The arbitration will take place in entrant’s hometown area unless the parties agree to video, phone and/or internet connection appearances. Any Claim not subject to arbitration (other than claims proceeding in any small claims court), or where no election to arbitrate has been made, shall be decided by a court of competent jurisdiction in Los Angeles, California, United States of America, and each entrant agrees to submit to the personal jurisdiction of that court.
Restrictions. Each entrant agrees that any arbitration shall be limited to the Claim between Sponsor and each such entrant individually. EACH ENTRANT FURTHER AGREES THAT (A) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY OR AS A PRIVATE ATTORNEY GENERAL; AND (C) NO ARBITRATION SHALL BE JOINED WITH ANY OTHER.
Exceptions to Arbitration. Each entrant agrees that the following Claims are not subject to the above provisions concerning binding arbitration: (a) any Claims seeking to enforce or protect, or concerning the validity of, any intellectual property rights of Sponsor; (b) any Claim related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (c) any claim for injunctive relief. In addition to the foregoing, either party may assert an individual action in small claims court for Claims that are within the scope of such courts’ jurisdiction in lieu of arbitration.
Governing Law. Except as otherwise provided in these Official Rules, these Official Rules will be governed by, and will be construed under, the laws of the State of California, without regard to its choice of law principles.
Severability. Each Entrant agrees that if any portion of this Section 8 is found illegal or unenforceable (except any portion of paragraph 8.e.), that portion shall be severed and the remainder of the Section shall be given full force and effect. If paragraph 8.e. is found to be illegal or unenforceable then no entrant will elect to arbitrate any Claim falling within that portion of paragraph 8.e. found to be illegal or unenforceable and such Claim shall be decided by a court of competent jurisdiction within Los Angeles, California, United States of America, and entrant agrees to submit to the personal jurisdiction of that court.
LIMITATIONS ON DAMAGES, VENUE, AND RESTRICTIONS ON CLASS ACTIONS ARE NOT PERMITTED IN ALL JURISDICTIONS AND SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
